// The Africa Fintech Foundry Hackathon Terms of Participation

BY REGISTERING, YOU (THE “PARTICIPANT” OR “YOU”) AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS IN CONNECTION WITH THE AFF HACKATHON (THE “HACKATHON”). THE HACKATHON IS VOID WHERE PROHIBITED BY LAW. A PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

SPONSOR: The Hackathon is sponsored by Africa Fintech Foundry and its affiliates (“AFF” or “Sponsor”).

ELIGIBILITY: The Hackathon is open to residents in Nigeria. Entrants under 18 years of age must have parental/guardian approval to enter and the parent/guardian of such entrant must read and consent to all terms and conditions. Employees of AFF, Access Bank, Microsoft, IBM, Idea Nigeria, Emaginations, Design Institute, Accelerate Tv, Systemic Logic, Trium and Re:write are not eligible to participate in the Hackathon.

TEAMS: Teams of two (2) to five (5) people are allowed. All members of your team must meet the eligibility criteria contained in these Terms of Participation. If any member of your team is ineligible or otherwise fails to comply with these Terms of Participation, the team as a whole may be disqualified at the Sponsor’s sole discretion. Each team is solely responsible for its own cooperation and teamwork. The Sponsor will not officiate any dispute between members regarding their conduct, participation, cooperation, contribution, prize sharing or intellectual property ownership. Participants are not permitted to switch teams after the team formation on day 1 of the hackathon.

SUBMISSION: Winning teams may be subject to a code-review at some point following the event or immediately before winners are announced. Each team must complete its submission (“Submission”) before the end of the “Hackathon Period” (12 noon on March 26th). Instructions will be provided on how to check in the code for your Submission.

DEMONSTRATIONS: Following the Hackathon Period, each team will have two or three minutes to demonstrate its Submission to a panel of judges selected by the Sponsor, followed by a question and answer session with the judges. Demonstrations will occur at the AFF building on Sunday March 26, 2017. Demonstration time limits may be shortened or lengthened in the Sponsor’s sole discretion depending on the number of submissions. You may present your Submission in any way you see fit, but you are encouraged to explain and demonstrate how your Submission meets the judging criteria below. The Sponsor will provide equipment to display your Submission on a screen. The order of demonstrations will be decided by the Sponsor in its discretion.

JUDGING AND CRITERIA: A panel of judges will evaluate each Submission immediately after its demonstration using a combination of judging criteria:

Each submission will be scored in each round based on the following criteria with a minimum score of 0 and maximum score of 60 points, with the final score being the average of the judges’ scores. Judges are subject to change in the Sponsor’s sole discretion. A judge may elect to recuse him or herself from evaluating a Submission, or the Sponsor may require a judge to recuse him or herself from evaluating a Submission, if, in the judge’s or the Sponsor’s opinion, it would not be appropriate for the judge to evaluate a participant’s Submission because of a past or current relationship with the participant. Recusal decisions are final and not subject to appeal.

WINNER ANNOUNCEMENT AND VERIFICATION: Potential winners will be announced shortly after the judging has been completed. The Sponsor may take any actions necessary to verify a team’s compliance with these Terms of Participation before awarding a prize, including, without limitation, requiring a team to provide evidence of permission to use certain third party materials. Participants understand and acknowledges that even though their team may be announced as winners, if the team’s compliance with these Terms of Participation cannot be verified to the satisfaction of the Sponsor, the Sponsor will select an alternate winner with the next highest score based on the same judging criteria.

PRIZE CONDITIONS: All prize details will be determined by the Sponsor in its sole discretion. The Sponsor reserves the right to substitute a similar prize (or prize element) of comparable or greater value. All taxes and other expenses, costs, or fees associated with the acceptance and/ or use of any prize are the sole responsibility of winners. Prizes cannot be transferred or substituted by a winner. If a prize is unclaimed within a reasonable time after notification from the Sponsor, as determined by the Sponsor in its sole discretion, it will be forfeited, and time permitting, an alternate winner may be selected from the remaining eligible Submissions at the Sponsor’s sole discretion.

YOUR SUBMISSION AND DISQUALIFICATIONS: Your Submission must comply with the following rules and your teams’ Submission may be disqualified if the Sponsor has reason to believe, in its sole discretion, that your Submission does not comply with the following:

You and/or your entire team may be disqualified for any of the following actions, with or without warning, in the Sponsor’s sole discretion:

PERSONAL INFORMATION: Participant acknowledges and agrees that Participant’s name and contact information will be collected upon registration for the Hackathon. AFF may use or disclose this information to its affiliates, service providers and/or advisors globally solely for purposes of

CODE OF CONDUCT: Harassment includes offensive verbal comments related to gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, nationality, religion, sexual images in public spaces, deliberate intimidation, stalking, following, photography or audio/video recording against reasonable consent, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention. Participants asked to stop any harassing behavior are expected to comply immediately.

ADDITIONAL TERMS: The failure of the Sponsor to comply with any provision of these Terms of Participation due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of the Sponsor (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Terms of Participation. The Sponsor assumes no responsibility for any injury or damage to your or any other person’s computer relating to or resulting from downloading materials or software in connection with the Hackathon. The Sponsor is not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of Submission information; for errors in any promotional or marketing materials or in these Terms of Participation; for any human or electronic error; or for Submissions that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. The Sponsor reserves the right to cancel, modify, or suspend the Hackathon or any element thereof (including, without limitation, these Terms of Participation) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in this Terms of Participation). The Sponsor may prohibit any entrant or potential entrant from participating in the Hackathon or take any other action it deems appropriate, if such entrant or potential entrant shows a disregard for this Terms of Participation ; or engages in annoying, abusive, threatening, or harassing behaviour with respect to any other entrant, the Sponsor, the Partner, or its agents or representatives; or behaves in any other disruptive manner (as determined by the Sponsor in its sole discretion.)

WHOLE AGREEMENT: The Terms of Participation (together with all other documents to be entered into pursuant to it) sets out the entire agreement and understanding between the parties, and supersedes all proposals and prior agreements, arrangements and understandings between the parties, relating to Participant’s participation in the Hackathon. Participant acknowledges that it has not relied on any representation, warranty, collateral contract or other assurance or statement (whether written or oral) (except those set out in these Terms of Participation) made by or on behalf of AFF or any other party. Each party waives all rights and remedies which, but for this section might otherwise be available to it in respect of any such representation, warranty, collateral contract or other assurance. Failure by AFF to enforce any term shall not constitute a waiver of that provision.

GOVERNING LAW AND JURISDICTION: The Terms of Participation shall be governed by and construed in accordance with the Laws of the Federal Republic of Nigeria and the Parties submit to the jurisdiction of the Courts of Nigeria. Any dispute shall be resolved by amicable negotiations but if the Parties fail to settle the dispute by negotiation within twenty one (21) working days of holding consultations, such dispute shall be referred to a single arbitrator appointed by the Parties hereto in accordance with the provisions of the Arbitration and Conciliation Act Cap A18, Laws of the Federation of Nigeria 2004. Where the Parties are unable to agree on the choice of a single arbitrator within twenty one (21) working days of holding consultations after the dispute arises, the Parties shall apply to the President, for the time being, of the Nigerian Branch of the Chartered Institute of Arbitrators to appoint a single arbitrator to resolve any referred dispute. The sole arbitrator to be appointed whether by the Parties or by the President, for the time being, of the Nigerian Branch of the Chartered Institute of Arbitrators shall be a person with vast experience in commercial law and related practice. The arbitration proceedings shall be conducted in English Language and shall take place in Lagos State.
